Rewards & Benefits Terms
The following terms and conditions (the “Rewards & Benefits Program Terms'' or “Terms”) govern your participation in the Zena Rewards & Benefits Program (the “Program”), which includes our progressive tier-based rewards program (“Zena Rewards”) and any standalone Offers (as defined below) under the Program. These Terms describe how you may become eligible for, earn, redeem, and forfeit rewards.
All capitalized terms found in this agreement, unless otherwise defined herein, have the meanings assigned in the Terms of Use, Charge Card Terms of Use, or other Governing Documents.
1. Enrollment
You are automatically enrolled in the Program, Zena Rewards and any active Offers for which you are eligible when you create a Zena Account, and you can make progress towards earning rewards as long as you continue to meet all related eligibility criteria described below.
Your continued participation in the Program and use of your Zena Account is deemed to be acceptance of these Terms. If you do not wish to accept these Program Terms and would like to opt out of the Program or any specific Offer, please contact us anytime at: help@getzena.com or submit a request through the Portal.
2. Program Eligibility
You are eligible for the Program as long as you meet the following criteria:
- You have a Zena account in good standing, and no amounts are, or have been, overdue on more than 5 days total in any 12-month period;
- Zena has not determined, in our sole discretion, that you or an Authorized User associated with your business have violated the Terms of Use, Charge Card Terms of Use, or any other Governing Documents; and
- You maintain a Linked Bank Account.
We reserve the right to limit your ability to earn rewards, and in some cases you may forfeit Rewards or progress already earned or accrued related to any Offer, in the event that you fail to meet these eligibility requirements.
Any failure or delay in enforcing your obligations under this Program does not constitute a waiver of your obligations or prevent us from taking action in the future. If we waive an obligation in one circumstance, this does not prevent us from enforcing it in the future.
3. Offers
From time to time, we may extend account sign-on bonuses, introductory offers, vendor discounts, referral bonuses, or other related types of rewards programs that may have a limited term or scope (“Offers”). Offers may vary substantially in structure, term, type or value of reward(s), and method of earning the reward. As part of the Program, and as long as you are eligible, you will be automatically opted into any active Offers.
At any given time, we may make available zero, one, or multiple Offers, and you may be eligible for zero, one, or multiple of these Offers. It is also possible that you are not eligible for an Offer at the time it is first extended but become eligible at a later date while the Offer is still active.

By participating in any active Offer, you agree that you are solely responsible for complying with the terms and conditions of this Program as well as the terms and conditions of the related Offer and understand that failure to do so may result in limitations on your ability to earn rewards and/or forfeiture of accrued or earned Rewards.
Offers may be subject to additional terms, conditions, and/or restrictions, and we may make changes to Offer terms or cancel an Offer at any time without notice to you. If there is a conflict between the Program Terms and the terms of any Offer, unless otherwise specified, the Offer terms and conditions will supersede these Program Terms.
4. Earning Rewards; Spend Offers
You can earn Rewards through your participation in active Offers under the Program. Depending on the terms of the Offer, you may earn Rewards through your use of the Services, including purchases on eligible Cards made by you or your Authorized Users, or through other means as described in the related Offer terms.
Offers that allow you to earn or progress towards rewards by making purchases on eligible Cards (“Spend Offers”), such as Zena Rewards, exclude certain types of transactions from accruing progress towards rewards, such as cash withdrawals, purchases of prepaid cards and/or cash equivalents, any fees or fines associated with your Platform Account, transactions we deem fraudulent, and disputed transactions or transactions subject to chargebacks.
Transaction reversals, including chargebacks and refunds, will net against any transactions that accrue progress towards earning rewards. We may determine additional types of transactions that are excluded from or netted against progress towards earning rewards, related to either the Program as a whole or any specific Spend Offer(s).
5. Errors related to rewards and Offers
If you believe that you are eligible for (or have earned) a reward that you did not receive, or if you believe that we have incorrectly calculated your status or progress with regards to earning any reward or completing any Offer, you must report the error to us at help@getzena.com within 60 days of the date you believe the reward should have been earned (or progress should have been accrued, as applicable). We may reject any request to review or resolve such errors after 60 days.
If Zena erroneously deems that you have earned a reward or completed an Offer when you have not, or if we mistakenly award more progress towards a reward or completion of an Offer than you were entitled to (as reflected in the Portal), we can, in our sole discretion, correct the error and recalculate your progress. To the extent that a reward was erroneously earned and then subsequently redeemed, we reserve the right to debit any amounts over-awarded in error from progress towards earning future rewards or completing future Offers.
6. Redemption of rewards and Offers
When relevant, and depending on the type of Offer, you may visit the Portal to see (1) your progress towards earning rewards and (2) when a reward has been earned. In any event, we will notify you via email within ten business days of earning a Reward and, if necessary, request any additional information required to complete the redemption. We will not complete any redemption that requires additional information until you respond to the related information request.
We are not responsible for (1) rewards that are not claimed or redeemed within 90 days of being earned; (2) any expense, claim, or other liability related to redeemed Rewards, or (3) providing compensation for partial or incomplete progress towards earning a reward or redeeming an Offer, unless specified. All rewards are offered subject to availability and supplier restrictions.
Rewards redeemed with or provided by third parties may have additional terms and conditions; you are responsible for reviewing and understanding any such additional terms, and Zena disclaims all liability for claims that arise in connection with third parties.
7. Disqualification
You will immediately forfeit all progress towards earning rewards, and you will be disqualified from participating in the Program or any Offers, if we believe that you have (1) violated any applicable laws or regulations; (2) intentionally or willfully breached or violated any of the Governing Documents; (3) acted in an inappropriate, harmful, or hostile manner; (4) acted in a fraudulent or abusive manner with regards to the Program, such as self-dealing (using your Zena Card to make purchases from your business, its affiliates, owners, or employees); or (5) taken any other action that would, immediately or with the passage of time, lead to suspension or termination of your Platform Account.
8. Taxes
You understand that it is your responsibility to determine the appropriate tax treatment for any rewards redeemed, and you are solely responsible for taxes arising from or related to rewards you earn. Unless required by law, we will not report income or earnings related to rewards to any tax authority.
9. Privacy
Information that we collect from you may be shared with third parties as necessary to redeem Rewards. You consent to Zena’s use of your personal information for this purpose. Please see our Privacy Policy for more information.
10. Modification of Program Terms
Zena may update the Program Terms or the terms of any Offer at any time by replacing the existing posted version with a new, updated version on our legal terms page.
Any updates may modify Program or Offer eligibility, how you earn rewards, how long it takes to earn certain rewards, and/or the value of rewards you earn. We reserve the right to restrict or exclude certain types of transactions from your progress towards earning rewards, place limits on rewards earned through caps and expiration dates, and terminate the Program (and/or any active Offers) altogether.

How It Works
Start earning today
You can start your progress towards earning rewards on the day you open your Zena account and begin using Zena cards.
Rewards Cycle
Rewards cycles are annual / twelve (12) months in length, and progress is reset on each one-year anniversary of the day you opened your Zena account (except for Rollover Spend; see below).
Earning Rewards
You qualify for one (1) choice from a curated list of gifts each time you progress from one tier to the next within the same rewards cycle (i.e. 12-month period).
- You may qualify for multiple gifts in a single rewards cycle. For instance, if you spend $25k on Zena cards each month, you would qualify for a Gold Tier gift after month 2 ($50k of spend) and a Platinum Tier gift after month 6 ($150k of spend).
Rollover Spend
At the end of each annual rewards cycle, all spend in excess of the Minimum Annual Spend threshold of the tier you hit most recently will carry over into the next cycle. However, Rollover Spend can only help you qualify for tiers you did not achieve in the prior year and you will not automatically earn prizes related to tiers you qualified for in Year 1. Rollover Spend will be automatically applied when it helps you qualify for the next tier.
- For example, assume you spend $250k in Year 1, which means you’ve qualified for Platinum Tier ($150k). You’ll begin Year 2 with $100k of Rollover Spend
- You’ll still need to spend $50k in Year 2 to earn a Gold Tier gift and $150k in Year 2 to earn a Platinum Tier gift, but you’ll qualify for Diamond at $400k of Year 2 spend instead of $500k due to your $100k Rollover Spend balance
- If you do not qualify for Diamond Tier in Year 2, your $100k of Year 1 Rollover Spend, plus any additional Year 2 Rollover Spend, will roll to Year 3.
Rewards are account-level
Rewards are earned at the account level, and all relevant communications related to the Rewards Program, including the redemption of earned rewards, will be handled with each account’s point of contact and/or Admin.
Offer Redemption and Additional Terms
You may view total spend in the Portal at any time. Zena will contact you via email within 10 business days of qualifying for a new tier with additional information on how to choose and redeem your gift. Please see Appendix A for the most current list of Rewards. Rewards are subject to change without notice.
Zena reserves the right to revoke or modify this offer at any time with 30 days’ notice. Zena Rewards is governed by the Zena Rewards & Benefits Program Terms and is subject to our Privacy Policy, Terms of Service, and Charge Card Terms of Service. Please note that you must have an account in good standing at all times in order to participate.
